Common use of BASF Clause in Contracts

BASF. In respect of any of the Work Product and Intellectual Property consisting, in whole or in part, of the BASF process for the removal of carbon dioxide and/or hydrogen sulfide from gases, using, as scrubbing liquid, aqueous solution of methyldiethanolamine (“aMEDA”), and any technical information (e.g., process, data, technical information, know-how and improvements thereto) relating to the same, Contractor’s obligation to provide a license for and Owner’s rights to use such Work Product and Intellectual Property are limited to a non-exclusive, non-transferrable license for the purpose of operating and maintaining the Phase 2 Liquefaction Facility in accordance with the sublicense agreement between the Owner and the Contractor executed on or about the date of this Agreement. The Contractor represents that the Contractor has a general license in the Intellectual Property from BASF sufficient for the performance of the Work (including the design, erection, start-up and maintenance of the Phase 2 Liquefaction Facility).
