Common use of Before First Commercial Sale Clause in Contracts

Before First Commercial Sale. Prior to the first commercial sale of any LICENSED PRODUCT, LICENSEE shall deliver reports to LICENSOR annually, within sixty (60) days of the end of each calendar year, containing information concerning the immediately preceding calendar year on the diligent efforts of LICENSEE, its AFFILIATES or SUBLICENSEES to develop LICENSED PRODUCT as stipulated in Clause 3.1.

Prior to the first commercial sale of any LICENSED PRODUCTPRODUCT or first commercial performance of any LICENSED PROCESS, LICENSEE shall deliver semiannual reports to LICENSOR annuallyLICENSOR, within sixty (60) days of the end of each calendar yearafter December 31 and after June 30, containing information concerning the immediately preceding calendar year REPORTING PERIOD, as further described in Section 5.2, and the future commercial development and marketing activities on the diligent efforts of LICENSEE, its AFFILIATES or SUBLICENSEES to develop LICENSED PRODUCT as stipulated in Clause 3.1a client base.
