BENEFICIARIES AND GENERAL TERMS. 0Notwithstanding any provision to the contrary contained in this Schedule, MRI and Client hereby acknowledge and agree that Payment Providers and its Affiliates are intended to be, and are hereby deemed to be, third-party beneficiaries to this Schedule with respect to the Payment Services, and all benefits of MRI hereunder shall inure to and benefit Payment Providers and its Affiliates. NOTWITHSTANDING THE FOREGOING OR ANY PROVISION TO THE CONTRARY CONTAINED IN THE MASTER AGREEMENT, THIS SCHEDULE OR ANY OTHER DOCUMENT, INCLUDING WITHOUT LIMITATION ANY ADDENDUM OR AMENDMENT ENTERED INTO BETWEEN CLIENT AND MRI, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF MRI, THE BANK, AND THE PAYMENT PROVIDERS (COLLECTIVELY) FOR THE PAYMENTS SERVICES AND ITS AFFILIATES ARISING FROM OR RELATED TO THE PAYMENTS SERVICES OR THIS SCHEDULE EXCEED IN AGGREGATE THE TOTAL AMOUNT OF FEES PAID BY CLIENT FOR THE PAYMENTS SERVICES WITHIN THE MOST RECENT TWELVE (12)-MONTH PERIOD DURING THE TERM. *************************************************************************************************************************************** END OF PAYMENTS SERVICES SCHEDULE MRI VENDOR PAY SERVICES SCHEDULE This Services Schedule for the MRI Vendor Pay powered by AvidXchange (this “Schedule”) is entered into between MRI Software LLC (“MRI”) and the Client named in the Order Document. References to this Schedule shall be deemed to include the terms and conditions of the Master Agreement between MRI and Client. As used in this Schedule, “Party” means either Client or MRI, as appropriate, and “Parties” means Client and MRI. Client has decided to purchase MRI Vendor Pay. Client acknowledges and agrees that MRI will utilize AvidXchange and/or other third parties in the performance of the Services and that references to MRI shall be deemed to include AvidXchange and/or such other third parties, as applicable. All capitalized terms used and not defined in this Schedule shall have the meanings ascribed to them in the Master Agreement.

This agreement shall prevail over any conflicting District rules, regulations, policies or procedures.
