Common use of Best of Knowledge Clause in Contracts

Best of Knowledge. Any reference herein to "the best of the knowledge" of the Vendor will be deemed to mean the actual knowledge of the Vendor and the knowledge which it would have had if it had conducted an inquiry into the relevant subject matter that a reasonably prudent person would have conducted under similar circumstances.

Best of Knowledge. Any reference herein to "the best of the knowledge" of the Vendor or the Purchaser will be deemed to mean the actual knowledge of the current directors and senior officers of the Vendor or the Purchaser, as applicable, and the knowledge which it they would have had if it they had conducted an a reasonably diligent inquiry into the relevant subject matter that a reasonably prudent person would have conducted under similar circumstancesmatter.

Any reference herein to "the best of the knowledge" of the Vendor will be deemed to mean the actual knowledge of the Vendor and the knowledge which it they would have had if it they had conducted an a diligent inquiry into the relevant subject matter that a reasonably prudent person would have conducted under similar circumstancessubject-matter.

Any reference herein to "the best of the knowledge" of the Vendor will be deemed to mean the actual knowledge of the president of the Vendor and the knowledge which it he would have had if it he had conducted an a reasonably diligent inquiry into the relevant subject matter that a reasonably prudent person would have conducted under similar circumstancesmatter.
