Upfront License Fee. In part consideration of the license rights granted by Marina Bio under this Agreement, MirnaRx shall pay Marina Bio an upfront license fee of $[***], to be paid within [***] of the Effective Date but no later than [***]. For the avoidance of doubt, this upfront license fee includes designation of miR-34 as a Selected MirnaRx Compound (as provided in Section 1.48(a)). [***] Certain information in this document has been omitted and filed separately with the Securities and Exchange Commission. Confidential treatment has been requested with respect to the omitted portions.
Upfront License Fee. LICENSEE shall pay to JHU a nonrefundable UPFRONT LICENSE FEE as specified in Exhibit A-2 within thirty (30) days of the EXECUTION DATE. The UPFRONT LICENSE FEE paid by LICENSEE to JHU shall not be credited towards any other payments LICENSEE is required to pay JHU under this AGREEMENT.
Upfront License Fee. As partial consideration for the rights granted to Indivior herein, Indivior shall pay Addex an upfront license fee in the amount of $5,000,000 no later than [***] days after the Effective Date.
Upfront License Fee. Within six (6) months of the Effective Date, Licensee shall pay to UHN a one-time upfront non-refundable license Fee ofTwenty Five Thousand Dollars ($25,000}.
Upfront License Fee. Licensee will pay TeneoBio the upfront license fee of […***…] on the Effective Date and […***…] no later than […***…] months following the Effective Date (the “Upfront Fee”).
Upfront License Fee. After execution of this Agreement and within thirty (30) days after receipt of written notice of PARI’s election under Section 5.3(a), Transave shall pay PARI (a) [***] either in cash, or the equivalent in Qualified Stock, or a combination of cash and Qualified Stock, at PARI’s option as provided in section 5.3(a) below, plus (b) the equivalent of [***] in Qualified Stock, as an upfront license fee.
Upfront License Fee. Within thirty (30) days of the execution of this Agreement and provided PARI has received the information set forth in paragraphs (b)(iii) and (iv) below, PARI shall notify Transave in writing whether or not it elects to receive Qualified Stock in lieu of the upfront license fee payment of [***] set forth in Section 5.1(a) above. If PARI fails to make its election within such thirty (30) days and provided PARI has received the information set forth in paragraphs (b)(iii) and (iv) below, then Transave may, in its sole discretion, make such payment in cash, Qualified Stock or a combination of cash and Qualified Stock, in the manner set forth in Section 5.3(c) below.
Upfront License Fee. In consideration of the license and rights granted hereunder, Licensee shall pay an upfront license fee in an amount equal to $7,000,000 (the “Upfront License Fee”), [***].
Upfront License Fee. Oncorus will pay to OSR-Telethon an upfront license fee of $[***] USD in accordance with the schedule below, in each case within [***] following the triggering event:
a) $[***] USD at the Effective Date; and
b) $[***] USD upon the sooner of: a) [***] following the Execution Date; b) Oncorus raising a total amount of $[***] USD, in total equity financing(s).
Upfront License Fee. UPI has paid ¥10,000,000 to NPC as an upfront license fee per the terms of the Term Sheet for Sialic Acid Treatment dated May 28, 2010 entered into between NPC and UPI. Upon the Effective Date of this Agreement such fee shall become non-refundable.
