Common use of Billing Disputes Clause in Contracts

Billing Disputes. Should CLEC dispute, in good faith, and withhold payment on any portion of the charges under this Agreement, CLEC will notify Qwest in writing within fifteen (15) Days following the Payment Due Date identifying the amount, reason and rationale of such dispute. At a minimum, CLEC will pay all undisputed amounts due to Qwest. Both CLEC and Qwest agree to expedite the investigation of any disputed amounts, promptly provide reasonably requested documentation regarding the amount disputed, and work in good faith in an effort to resolve and settle the dispute through informal means prior to invoking any other rights or remedies. A. If CLEC disputes charges and does not pay such charges by the Payment Due Date, such charges may be subject to late payment charges. If the disputed charges have been withheld and the dispute is resolved in favor of Qwest, CLEC will pay the disputed amount and applicable late payment charges no later than the next Xxxx Bill Date following the resolution. CLEC may not continue to withhold the disputed amount following the initial resolution while pursuing further dispute resolution. If the disputed charges have been withheld and the dispute is resolved in favor of CLEC, Qwest will credit XXXX’x xxxx for the amount of the disputed charges and any late payment charges that have been assessed no later than the second Xxxx Bill Date after the resolution of the dispute. B. If CLEC pays the disputed charges and the dispute is resolved in favor of Qwest, no further action is required. If CLEC pays the charges disputed at the time of payment or at any time thereafter, and the dispute is resolved in favor of the CLEC, Qwest will adjust the Billing, usually within two Billing cycles after the resolution of the dispute, dispute as follows: Qwest will credit the XXXX’x xxxx for the disputed amount and any associated interest; or if the disputed amount is greater than the xxxx bill to be credited, pay the remaining amount to CLEC. C. The interest calculated on the disputed amounts will be the same rate as late payment charges. Billing Disputes. Should CLEC A. Reseller agrees to notify the Company upon the discovery of a billing dispute. Where the format or lack of mechanization of bills makes it impracticable for CLEC to dispute bill amounts by telephone number, a dispute based on summary records shall be acceptable. In addition, where a dispute is based on summary records, Qwest shall determine by working telephone number all the cases where discrepancies identified on a summary basis exist. In the event of a Billing dispute, the Parties will endeavor to resolve the dispute within sixty (60) Days of the Bill Date on which such disputed charges appear. Disputes will be submitted to the assigned Wholesale Billing Service Delivery Coordinator (SDC) for resolution. If CLEC disagrees with Qwest's resolution, CLEC may escalate the dispute to the first level of management. A. XXXX shall not be responsible for payment of charges for Services invoiced more than one hundred twenty (120) days after close of the billing month in which the charges were incurred. If CLEC fails to dispute a rate or charge within 60 Days following the invoice date on which the rate or charge appearedperiod set forth in Section 8.4, adjustment will be made on a going-forward basis only, beginning with CLEC must dispute charges within one hundred twenty (120) days after the date of the affected invoice or else CLEC waives the dispute. This limitation does not apply in the case of errors cause by fraud or intentional misrepresentation or to changes implemented within a reasonable period of time after the effectiveness of an applicable regulatory order.
