Bills of Sale; Classification Certificates. There shall have been delivered to the Shipowner (i) in duplicate, in recordable form for filing with the USCG National Vessel Documentation Office bills of sale (the “Bills of Sale”) for the applicable Vessels signed by the respective Seller transferring to the Owner Participant, and signed by the Owner Participant transferring to the Shipowner, title to each of the Vessels and, in the case of the Bills of Sale from each Seller, warranting to the Owner Participant that such Seller had good and marketable title thereto and the lawful right to sell the same to the Owner Participant and that as of the Closing Date (immediately prior to the transfer of title to Owner Participant) title thereto was free and clear of all Liens other than Permitted Liens; and (ii) confirmation of class certificates issued by the Classification Society reflecting no outstanding recommendations with respect to any blue water Vessel.
