Binding Documents. The Contract Documents form the entire agreement between Owner and Construction Manager, and by incorporation herein are as fully binding on the parties as if repeated herein. No oral representations or other agreements have been made by the parties, except as specifically stated in the Contract Documents.
Binding Documents. The opinion expressed under (c)(iv)(C) is solely based upon a review of documents which have been filed by the Company with the Luxembourg Company Register and the certificate of the Managing Directors of the Company attached to this opinion as Appendix A.
Binding Documents. The Security Documents shall be binding upon, and shall inure to the benefit of, the Lenders and their relevant successors and assigns and their respective successors (in each case whether by merger, amalgamation, consolidation, take over or otherwise, and each such case a “Succession”), and each party hereby agrees that from the completion of the Succession the Agreement and the Security Documents shall be read and construed as if all references to the Lenders were references to the relevant successor. For the avoidance of doubt, the relevant successor shall not be a transferee or assignee for the purpose of the Security Documents but shall be (or shall be treated as) the same legal entity as the Lenders (or the relevant preceding successor, as the case may be).
Binding Documents. This Agreement has been, and all the documents to be delivered by Seller to Purchaser at Closing will be, duly authorized, executed and delivered by Seller, are or will be legal, valid and binding obligations of Seller, will be sufficient at Closing to convey good and marketable title to Purchaser, are or will be at Closing enforceable in accordance with their respective terms, and do not and will not at Closing violate any provisions of any agreement to which Seller is a party or by which the Property is bound.
Binding Documents. In addition to this Lease, Lessee shall be bound by all terms and conditions pertaining to the Premises and the Property in the following documents: (1) the First Amended and Restated Master Declaration of Covenants, Conditions and Restrictions for Grant Ranch (the “Declaration”), as may be amended; (2) Any rules and regulations promulgated by the Lessor, including but not limited to any specific lake rules; and (3) the Xxxxxx Reservoir Lease.

Binding Documents. 20.1 If this Agreement is executed in multiple counterparts, the Parties agree that any of such executed counterparts constitutes a valid and binding contract and that, collectively, such counterparts constitute one and the same contract.
