Blackboard Warranties. Blackboard represents and warrants that (a) it --------------------- has authorized the person who has signed this Agreement for Blackboard to execute and deliver this Agreement to Developer on behalf of Blackboard, (b) it and/or its suppliers and licensors possess all rights necessary to grant the rights herein, and (c) Blackboard will comply with all applicable local, national and international laws, regulations or other provisions in all material respects in performing its obligations under this Agreement.
