Common use of Blue Planet Obligations Clause in Contracts

Blue Planet Obligations. Blue Planet shall: 5.1 Before the date of which the Professional Services are to start, obtain, and at all times during the term of the applicable Services Description maintain, all necessary licenses and consents and comply with all relevant laws applicable to the provision of the Professional Services and Deliverables. 5.2 Prior to any Blue Planet personnel performing any Professional Services under any Services Description: (a) ensure that such personnel have the legal right to work in the location in which the Professional Services are rendered; and (b) at its sole cost and expense, conduct background checks on such personnel; such background checks shall include, at a minimum, a review of employment history, credit history, references and criminal record, in accordance with the local laws in the location in which the such personnel will provide the Professional Services. 5.3 Comply with, and ensure that all Blue Planet personnel comply with, Your rules, regulations and policies that are communicated to Blue Planet in writing, including security procedures concerning systems and data and remote access thereto, building security procedures, and general health and safety practices and procedures. 5.4 Maintain complete and accurate records relating to the provision of the Professional Services under this Agreement in such form as mutually agreed to by the parties. 5.5 Be responsible for all Blue Planet personnel and for the payment of their compensation, including, if applicable, withholding of income taxes, and the payment and withholding of social security and other payroll taxes, unemployment insurance, workers' compensation insurance payments and disability benefits. 5.6 Maintain, at its expense, all insurance required by law in the countries in which the Professional Services may be performed under this Agreement, along with the following types of insurance coverage with minimum limits: 5.6.1 Commercial general liability insurance, including products liability coverage, with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate.

Umbrella liability insurance, excess of commercial general liability, auto liability and employer’s liability, with minimum limits of $5,000,000 per occurrence.
