Board and Committee Minutes. Innes Street and Citizens Bank shall each provide to Xxxxxx Bancorp, within thirty (30) days after any meeting of their respective Board of Directors, or any committee thereof, or any senior management committee, a copy of the minutes of such meeting, except for information relating to the transactions contemplated by this agreement and deemed confidential by the Board of Directors or subject to the attorney-client privilege, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes shall be provided to each party prior to the Closing Date.
Board and Committee Minutes. CNYF and CSB shall each provide to Niagara Bancorp, within thirty (30) days after any meeting of their respective Board of Directors, or any committee thereof, a copy of the minutes of such meeting, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes shall be provided to each party prior to the Closing Date.

PFC and First Federal shall each provide to Sound Federal Bancorp, within thirty (30) days after any meeting of their respective Board of Directors, or any committee thereof, or any senior management committee, a copy of the minutes of such meeting, excluding any matters related to this Agreement or the transactions contemplated hereby, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes shall be provided to each party prior to the Closing Date.

First Franklin and Franklin Savings shall each provide to Cheviot Financial, within thirty (30) days after any meeting of their respective Board of Directors, or any committee thereof, a copy of the minutes of such meeting (with the understanding that such minutes may not be final and approved by the relevant Board of Directors or Committee), except for information relating to the transactions contemplated by this Agreement or that relate to any potential Superior Proposal, or are otherwise deemed confidential by the relevant Board of Directors or Committee or are subject to the attorney-client privilege, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes (which may not be final and approved by the relevant Board of Directors or Committee) shall be provided to Cheviot Financial prior to the Closing Date.

WHG and Heritage Bank shall provide to Baltimore County Bank, within thirty (30) days after any meeting of their respective Board of Directors, or any executive committee thereof, a copy of the minutes of such meeting, excluding any matters related to this Agreement or the transactions contemplated hereby, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes shall be provided to each party prior to the Closing Date.

Alliance Bancorp and SWB shall each provide to the other, within thirty (30) days after any meeting of their respective Board of Directors, or any committee thereof, or any senior management committee, a copy of the minutes of such meeting, except that with respect to any meeting held within thirty (30) days of the Closing Date, such minutes shall be provided to each party prior to the Closing Date.

Each of PSB and JADE shall provide the other, within 30 days after any meeting of the Board of Directors of PSB or JADE or any Subsidiary, or any committee thereof, or any senior management committee, a copy of the minutes of such meeting, except that with respect to any meeting held within 30 days of the Closing Date, such minutes shall be provided prior to the Closing Date.

Bankers shall provide to Sovereign, within 30 days after any meeting of the Board of Directors of Bankers or any Bankers Subsidiary, or any committee thereof, or any senior management committee, a copy of the minutes of such meeting, except that with respect to any meeting held within 30 days of the Closing Date, such minutes shall be provided to Sovereign prior to the Closing Date.
Board and Committee Minutes. (a) The Roselle Entities shall each provide to Columbia, within two (2) Business Days after the respective Boards of Directors approve them, the respective Board of Directors, or any committee thereof, or any senior management committee, a copy of the minutes of each meeting, except that with respect to any meeting held within ten (10) Business Days of the Closing Date, such minutes shall be provided to Columbia prior to the Closing Date. A Roselle Entity may exclude from the minutes matters (i) relating to merger discussions, (ii) relating to discussions by a Roselle Entity Board of Directors of this Agreement and the transactions contemplated hereby, or (iii) any other subject matter that a Roselle Entity determines, based on the advice of counsel, that the disclosure of which could void any claim of attorney-client privilege by Roselle.
(b) Following receipt of the Bank Regulatory Approvals, the Roselle Entities shall each permit representatives of Columbia to attend meetings of their Boards of Directors or the Executive Committees thereof, provided that the Roselle Entities shall not be required to permit the Columbia representative to remain present during any confidential discussion of this Agreement and the transactions contemplated hereby or with regard to which participation by a representative of Columbia could void any claim of attorney-client privilege by Roselle or would violate applicable Law.
Board and Committee Minutes. Miners shall provide to MP ----------- --------------------------- Corp., within 10 days after any meeting of the Board of Directors, or any committee thereof, or any senior or executive management committee, a copy of the minutes of such meeting.
