Each party (the "Indemnifying Party") shall indemnify and hold harmless the other party and its Affiliates, and the directors, officers, employees and agents of each (collectively, "Indemnitees"), from and against any Liabilities, resulting from (i) bodily injury to or death of any person; or (ii) damage to, or loss or destruction of, any real or tangible personal property, in each event to the extent such claims are caused by the negligence or intentional misconduct of the Indemnifying Party or its employees or agents in connection with the performance of this Agreement. The Indemnifying Party shall have no obligation or responsibility for any Liabilities to the extent based upon or resulting from the negligence or intentional misconduct of an Indemnitee.

The Indemnifying Party shall have no obligation or responsibility for any Liabilities to the extent based upon or resulting from the negligence or intentional misconduct of an Indemnitee.
