Borrower Resolutions. Copies for each Bank duly certified by the secretary or an assistant secretary of the Borrower, of (i) resolutions of the Borrower's Board of Directors authorizing (A) the execution and delivery of this Fourth Amendment and related documents, (B) the pledge of the Micropump Shares and the Micropump Intercompany Note and (C) the borrowings under the Credit Agreement, as amended hereby, (ii) all documents evidencing other necessary corporate action, and (iii) all approvals or consents, if any, with respect to this Fourth Amendment.
Borrower Resolutions. Certified copies of resolutions of -------------------- each Borrower, its partners and authorized agents, as applicable, authorizing the execution and delivery and the consummation of the transactions contemplated by this Agreement and the Other Agreements and all other documents or instruments to be executed and delivered in conjunction herewith and therewith by each Borrower.

Administrative Agent shall have received, with a counterpart for each Lender, copies, duly certified by the Secretary or an Assistant Secretary of Borrower, of (i) resolutions of Borrower's Board of Directors and/or TIMET Finance's Board of Directors authorizing the execution and delivery of this Amendment and Waiver and the other agreements, instruments and documents contemplated hereby, and the transactions contemplated hereby, (ii) all documents evidencing other necessary corporate action, if any, and (iii) all approvals or consents, if any, necessary with respect to this Amendment and Waiver and the other agreements, instruments and documents contemplated hereby, and the transactions contemplated hereby.
Borrower Resolutions. Administrative Agent shall have received, with a counterpart for each Lender, copies, duly certified by the Secretary or an Assistant Secretary of Borrower, of (i) resolutions of Borrower's Board of Directors and/or TIMET Finance's Board of Directors authorizing the execution and delivery of the Pledge Agreement Amendment, the SMC Collateral Assignment and the other agreements, instruments and documents contemplated thereby, and the transactions contemplated thereby, (ii) all documents evidencing other necessary corporate action, if any, and (iii) all approvals or consents, if any, necessary with respect to the Pledge Agreement Amendment, the SMC Collateral Assignment and the other agreements, instruments and documents contemplated thereby, and the transactions contemplated thereby.
Borrower Resolutions. Certified copies of resolutions authorizing the execution, delivery and performance of this Agreement, as well as all of the transactions contemplated thereby, and such other documents relating thereto as the Bank may reasonably request, Loan and Security Agreement
Borrower Resolutions. A copy, duly certified by the secretary or an assistant secretary of the Borrower, of (A) the resolutions of the Board of Directors of the Borrower authorizing the borrowings by the Borrower hereunder, the execution, delivery and performance by the Borrower of the Loan Documents to which the Borrower is a party or by which it is bound, and the conveyance of a lien on assets of the Borrower to the Bank; (B) all documents evidencing other necessary corporate action; and (C) all approvals or consents, if any, with respect to the Loan Documents.
Borrower Resolutions. Borrower agrees to deliver to Agent on or before -------------------- December 11, 2001 a copy of a resolution passed by the board of directors of Borrower, certified by the Secretary or an Assistant Secretary of Borrower, ratifying the execution, delivery and performance of this Waiver. Borrower further agrees that it shall be an additional Default under the Credit Agreement if Borrower shall fail to deliver such resolutions to Agent on or before such date.
