Borrower Standstill Cash Manager may appoint substitutes. If the Borrower Standstill Cash Manager gives notice of its resignation in accordance with paragraph (a) (Resignation) above and by the 10th day before the expiry of such notice a substitute Borrower Standstill Cash Manager has not been duly appointed in accordance with paragraph (d) (Substitute Borrower Standstill Cash Manager) above, the Borrower Standstill Cash Manager may itself, following such consultation with the Borrower Security Group Agent as is practicable in the circumstances, appoint as its substitute Borrower Standstill Cash Manager any reputable and experienced financial institution which is rated at least the Borrower Standstill Cash Manager Minimum Rating by any one of the Rating Agencies, provided such substitute Borrower Standstill Cash Manager accedes to this Agreement and the Borrower STID at the time of, or prior to, its appointment. The Borrower Standstill Cash Manager shall give notice of such appointment to the Borrower Security Trustee and the Borrower Security Group Agent, whereupon the Borrower Security Trustee, the Borrower Security Group Agent and such substitute Borrower Standstill Cash Manager shall acquire and become subject to the same rights and obligations between themselves as if they had entered into this Agreement.

  • BANKRUPTCY, DEBARMENT, OR SUSPENSION CERTIFICATION Supplier certifies and warrants that it is not in bankruptcy or that it has previously disclosed in writing certain information to Sourcewell related to bankruptcy actions. If at any time during this Contract Supplier declares bankruptcy, Supplier must immediately notify Sourcewell in writing. Supplier certifies and warrants that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from programs operated by the State of Minnesota; the United States federal government or the Canadian government, as applicable; or any Participating Entity. Supplier certifies and warrants that neither it nor its principals have been convicted of a criminal offense related to the subject matter of this Contract. Supplier further warrants that it will provide immediate written notice to Sourcewell if this certification changes at any time.

  • Certification of Funds; Budget and Fiscal Provisions; Termination in the Event of Non-Appropriation This Agreement is subject to the budget and fiscal provisions of the City’s Charter. Charges will accrue only after prior written authorization certified by the Controller, and the amount of City’s obligation hereunder shall not at any time exceed the amount certified for the purpose and period stated in such advance authorization. This Agreement will terminate without penalty, liability or expense of any kind to City at the end of any fiscal year if funds are not appropriated for the next succeeding fiscal year. If funds are appropriated for a portion of the fiscal year, this Agreement will terminate, without penalty, liability or expense of any kind at the end of the term for which funds are appropriated. City has no obligation to make appropriations for this Agreement in lieu of appropriations for new or other agreements. City budget decisions are subject to the discretion of the Mayor and the Board of Supervisors. Contractor’s assumption of risk of possible non-appropriation is part of the consideration for this Agreement. THIS SECTION CONTROLS AGAINST ANY AND ALL OTHER PROVISIONS OF THIS AGREEMENT.
