Common use of Breach of Representation and Warranties Clause in Contracts

Breach of Representation and Warranties. Neither of the Parties shall take any action that would result in (i) a failure to comply in any material respect with such Party's agreements hereunder or (ii) any of the representations and warranties of such Party being inaccurate in any material respect; and in the event of any such breach or default by a Party, such Party shall give detailed written notice thereof to other Party and shall use his or its reasonable best efforts to promptly cure the same.
