Breach of Terms and Conditions. All terms and conditions herein will be construed as conditions, and any breach or failure to comply with any such terms and conditions will entitle the Purchaser, in addition to any rights that the Purchaser may have under Article 6, to terminate the Purchaser's obligation to purchase the Purchased Shares by written notice to that effect given to the Corporation prior to the Time of Closing.
