Broker, Finders, etc. All negotiations relating to this -------------------- Agreement and the transactions contemplated hereby have been carried on without the participation of any Person acting on behalf of MJD, the Company or any Subsidiary or any of their respective Affiliates in such manner as to, and the transactions contemplated hereby will not otherwise, give rise to any valid claim against the Company or any Subsidiary for any brokerage or finder's commission, fee or similar compensation.
Broker, Finders, etc. Buyers have not employed, nor are they subject to any valid claim of, any broker, finder, consultant or other intermediary in connection with the transactions contemplated by this Agreement who might be entitled to a fee or commission from Sellers in connection with such transactions. Buyers will indemnify, defend and hold Sellers harmless from and against any such amounts.
