Common use of Brokers and Expenses Clause in Contracts

Brokers and Expenses. No broker, finder or investment banker (other than Xxxxxxx & Company, LLC and Deutsche Bank Securities Inc.) is entitled to any brokerage, finder’s or other fee or commission in connection with the Transactions based upon arrangements made by or on behalf of the Company or any Company Subsidiary. The Company has heretofore furnished or made available to Parent a complete and correct copy of all Contracts between the Company and Xxxxxxx & Company, LLC and Deutsche Bank Securities Inc. pursuant to which such firms would be entitled to any payment relating to the Transactions.
