Common use of Brokers and Finders Clause in Contracts

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liability.

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant Warrants or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor Treasury could have any liability.

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liability.

No investment banker, broker, finder finder, financial advisor or investment banker other intermediary is entitled to any financial advisory, brokeragebroker’s, finder's ’s, financial advisor’s or other similar based fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made as a result of being engaged by or on behalf of the Company such Sponsor or any Company Subsidiary for which the Investor could have any liabilityof its respective Affiliates.

No broker, finder finder, or investment banker other Person is entitled to any financial advisorybrokerage fees, brokeragecommissions, or finder's ’s fees for which Seller or other fee its Affiliate could become liable or commission obligated in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf reason of the Company any action taken by Buyer or any Company Subsidiary for which the Investor could have any liabilityof its Affiliates.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant other Transaction Documents or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company AIG or any Company Subsidiary of AIG for which the Investor FRBNY, the UST, the Trust or the Trustees could have any liability.

No broker, finder or investment banker other than the Company Financial Advisor is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with the Merger or the other transactions contemplated by this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any of its Subsidiaries. The Company Subsidiary for which has made available to Parent correct and complete details of any remuneration the Investor Company Financial Advisor could have any liabilityreceive in connection with the transactions contemplated by this Agreement.

No Other than SunTrust and Xxxxxxxxx & Company, Inc., no broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with the Merger or the other transactions contemplated by this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityof its Subsidiaries.

No broker, finder investment banker, financial advisor or investment banker other Person is entitled to any financial advisory, brokeragebroker’s, finder's ’s, financial advisor’s or other similar fee or commission from Sellers or the Company in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company Purchaser or any Company Subsidiary for which the Investor could have any liabilityof its Affiliates.

No investment banker, broker, finder finder, or investment banker intermediary or other Person is or will be entitled to any financial advisoryinvestment banking, brokerage, finder's 's, financial advisory or other similar fee or commission from Parent or any Non-Bison Subsidiary in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements as a result of any arrangement made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityHoldings.

Brokers and Finders. No Except as provided in the Investment Agreement, no broker, finder or finder, investment banker or any other Person is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission from any of the Company or the Bank or any of their respective Subsidiaries in connection with this Agreement the Investment or any of the Warrant or the other transactions contemplated hereby or thereby by the Investment Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilitysuch Shareholder.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's finders or other fee or commission payable by Selling Parties in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement, based upon arrangements made by or on behalf of the Company Selling Parties or any Company Subsidiary for which the Investor could have any liabilityof its affiliates.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's 's, or other fee or commission payable by Buyer in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement, based upon arrangements made by or on behalf of the Company Buyer or any Company Subsidiary for which the Investor could have any liabilityof its affiliates.

No broker, finder or finder, financial advisor, investment banker or other person is entitled to any financial advisory, brokerage, finder's ’s, financial advisor’s or other similar fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilitySponsor.

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company Seller, any ALICO Entity or any Company Subsidiary for which the Investor could have any liabilityof their respective Affiliates.

No broker, finder or investment banker other Person is entitled to any financial advisorybrokerage fees, brokerage, commissions or finder's or other fee or commission fees in connection with this Agreement or the Warrant or the transactions contemplated hereby by reason of any action taken or thereby based upon arrangements commitment made by or on behalf of the Company Purchaser or any Company Subsidiary for which the Investor could have of its member owners or any liabilityof their respective Affiliates.

Brokers and Finders. No agent, broker, finder or investment banker or other ------------------- firm or person acting on behalf or under the authority of the Investor is or will be entitled to any financial advisory, brokerage, broker's or finder's or other fee or any other commission or similar fee from the Investor or the Company in connection with this Agreement or the Warrant or any of the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilitythis Agreement.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of AerCap, the Company Purchaser, any Purchaser Group Member or any Company Subsidiary for which the Investor could have any liabilityof their respective Affiliates.

No broker, finder investment banker, financial advisor or investment banker other Person is entitled to any financial advisory, brokeragebroker’s, finder's ’s, financial advisor’s or other similar fee or commission commission, or the reimbursement of expenses in connection therewith, in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby Transactions based upon arrangements made by or on behalf of the Company or any Company Subsidiary Xxxxxx Sub, except for which the Investor could have any liabilityPersons, if any, whose fees and expenses will be paid by Parent.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Purchase Agreement or the Warrant Warrants or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liability.

No agent, broker, finder or investment banker is entitled to any banker, financial advisory, brokerage, finder's advisor or other fee firm or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made person engaged by or on behalf of the Company Investors is or will be entitled to any broker's or finder's fee or any Company Subsidiary for which other commission or similar fee in connection with any of the Investor could have any liabilitytransactions contemplated by the Transaction Documents.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityBuyer.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's finders’ or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company Guarantor, Xx. Xxx, Parent or any Company Subsidiary for which the Investor could have any liabilityMerger Sub.

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company such Noteholder or Signing Stockholder or any Company Subsidiary for which the Investor could have any liabilityaffiliate of such Noteholder or Signing Stockholder.

No agent, broker, finder investment banker, financial advisor or investment banker other firm or person is entitled to any financial advisory, brokerage, finder's ’s, financial advisor’s or other similar fee or commission for which or any of its Affiliates could become liable in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by this Agreement as a result of any action taken by or on behalf of the Company Purchaser or any Company Subsidiary for which the Investor could have any liabilityof its Affiliates.

No agent, broker, finder or investment banker is entitled to any banker, financial advisory, brokerage, finder's advisor or other fee firm or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made person engaged by or on behalf of the Company Investor is or will be entitled to any broker's or finder's fee or any Company Subsidiary for which other commission or similar fee in connection with any of the Investor could have any liabilitytransactions contemplated by this Agreement.

No broker, finder or investment banker other than the Company Financial Advisor is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby Transactions based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilitySpecial Committee.

Brokers and Finders. No broker, finder investment banker, financial advisor or investment banker other Person is entitled to any financial advisory, brokeragebroker's, finder's, financial advisor's or other similar fee or commission from Seller in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityBuyer.

No broker, finder investment banker, financial advisor or investment banker other Person is entitled to any financial advisory, brokeragebroker’s, finder's ’s, financial advisor’s or other similar fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityPurchaser, except as may be paid to Ashenden Financie & Cie SA and The Xxxxxxx Group.

No agent, broker, finder investment banker, financial advisor or investment banker other person is entitled to any financial advisory, brokeragebroker’s, finder's ’s or other financial advisor’s fee or commission in connection with this Agreement or the Warrant or Stock Purchase and the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityPurchaser.

No Except as provided in the Investment Agreement, no broker, finder or finder, investment banker or any other Person is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission from any of the Company or the Bank or any of their respective Subsidiaries in connection with this Agreement the Investment or any of the Warrant or the other transactions contemplated hereby or thereby by the Investment Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityShareholder.

No Except for Purchaser’s Financial Advisor, no broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby Transactions based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityPurchaser.

No agent, broker, finder investment banker, financial advisor or investment banker other Person is or will become entitled to receive any financial advisorycommission, brokerage, finder's ’s fee or other fee or commission similar compensation in connection with this Agreement or the Warrant or consummation of the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company or any Company Subsidiary Purchaser for which the Investor Company could have any liabilityliability prior to Closing.

Brokers and Finders. No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby by this Agreement based upon arrangements made by or on behalf of the Company Newco or any Company Subsidiary for which the Investor could have any liabilityof its Affiliates.

No agent, broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's or other fee firm or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or person acting on behalf or under the authority of the Company or any Subsidiary is or shall be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company or any Subsidiary for which in connection with any of the Investor could have any liabilitytransactions contemplated by this Agreement.

No broker, finder or investment banker or any other Person is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission or other type of payment or consideration from any Target Entity in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityhereby.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with the Merger or the other transactions contemplated by this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company Parent or any Company Subsidiary for which the Investor could have any liabilityof its Subsidiaries.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made by or on behalf of the Company Parent, Seller, any AIA Entity or any Company Subsidiary for which the Investor could have any liabilityof their respective Affiliates.

No broker, finder or investment banker is entitled to any financial advisory, brokerage, finder's ’s or other fee or commission in connection with this Agreement or the Warrant or issuance and sale of the transactions Shares contemplated hereby or thereby based upon arrangements made by or on behalf of the Company or any Company Subsidiary for which the Investor could have any liabilityInvestor.

No agent, broker, finder or investment banker is entitled to any banker, financial advisory, brokerage, finder's advisor or other fee firm or commission in connection with this Agreement or the Warrant or the transactions contemplated hereby or thereby based upon arrangements made person engaged by or on behalf of the Company such Investor is or will be entitled to any broker's or finder's fee or any Company Subsidiary for which other commission or similar fee in connection with any of the Investor could have any liabilitytransactions contemplated by this Agreement.
