Common use of Brokers and Intermediaries Clause in Contracts

Brokers and Intermediaries. No broker, investment banker, financial adviser or other person is entitled to any broker's, finder's, financial advisor's or other similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of Stockholder. It is agreed and acknowledged that the Company has retained Xxxxxxxxxxx, Xxxxxxxx & Co. in connection with the Offer and the Merger and the transactions contemplated by the Merger Agreement.

Brokers and Intermediaries. No Other than as described in the Merger Agreement, no broker, investment banker, financial adviser advisor or other person is entitled to any broker's’s, finder's’s, financial advisor's ’s or other similar fee or commission that is payable by the Company or the Stockholder in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Stockholder. It is agreed and acknowledged that the Company has retained Xxxxxxxxxxx, Xxxxxxxx & Co. in connection with the Offer and the Merger and the transactions contemplated by the Merger Agreement.
