Broker's or Consultant's Fees. Purchaser represents and warrants that it has dealt with no broker, finder or consultant in connection with any of the transactions contemplated by this Agreement, and, to its knowledge, no Person is entitled to any commission or finder's fee in connection with the sale of the Shares to Purchaser.

Sellers shall pay all fees or commissions due to Xxxxxxx, Xxxxx & Co. and neither Purchaser nor either Company shall have any liability therefor.

Seller has not dealt with any broker, finder or similar consultant other than Burrill & Company and Context Capital Group in connection with any of xxx xxxnsactions contemplated by this Agreement and no other Person is entitled to any commission or finder's fee in connection with the sale of the Purchased Assets to Purchaser. Seller shall pay any compensation and expenses owing to Burrill & Company and Context Capital Group arising out of the transacxxxxx xontemplated hereby.
Broker's or Consultant's Fees. Purchaser has not dealt with any broker, finder or consultant other than Banc of America Securities LLC in connection with any of the transactions contemplated by this Agreement, and no other Person is entitled to any commission or finder's fee in connection with the sale of the Purchased Assets to Purchaser. Purchaser shall pay any compensation and expenses owing to Banc of America Securities LLC arising out of the transactions contemplated hereby.
Broker's or Consultant's Fees. Except for Berkxxx, Xxyex & Xo., each Seller represents and warrants that it has dealt with no broker, finder or consultant in connection with any of the transactions contemplated by this Agreement, and, to the Sellers' Knowledge, other than Berkxxx, Xxyex & Xo., no Person is entitled to any commission or finder's fee in connection with the sale of the Shares to Purchaser.
Broker's or Consultant's Fees. Neither the Company nor the Subsidiary has dealt with any broker, finder or consultant in connection with any of the transactions contemplated by this Agreement, and, to the Company's Knowledge, no Person is entitled to any commission or finder's fee in connection with the transactions contemplated by this Agreement except for Fifty Thousand Dollars ($50,000) plus reasonable expenses payable to Tuckxx Xxxxxxx Xxxorporated in accordance with that certain engagement letter dated as of May 30, 1997 between the Company and Tuckxx Xxxxxxx Xxxorporated.
