Common use of Broker’s or Finder’s Fees Clause in Contracts

Broker’s or Finder’s Fees. No agent, broker, Person or firm acting on behalf of Parent, Merger Sub or any Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any of the parties hereto in connection with any of the Transactions.

Broker’s or Finder’s Fees. No agent, broker, Person person or firm acting on behalf of Parent, Merger Sub or any the Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s its authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any of the parties hereto in connection with any of the Transactionstransactions contemplated herein.

Broker’s or Finder’s Fees. No agent, broker, investment banker, or similar Person or firm acting on behalf of Parent, Merger Sub or any Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or similar fee or commission from any of the parties hereto in connection with any of the Transactions.

Broker’s or Finder’s Fees. No agent, broker, investment banker, or similar Person or firm acting on behalf of Parent, Merger Sub Parent or any Parent Subsidiary of its subsidiaries (including Merger Sub) or under Parent’s, authority of Parent or any of its subsidiaries (including Merger Sub’s or any Parent Subsidiary’s authority ) is or will be entitled to any advisory, commission or broker’s or finder’s fee or similar fee or commission or reimbursement of expenses from any of the parties hereto in connection with any of the Transactions.

Broker’s or Finder’s Fees. No agent, broker, Person or firm acting on behalf of Parent, Parent or Merger Sub is, or any Parent Subsidiary or under Parent’sshall be, Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisoryfee, commission or broker’s or finder’s fee fees in connection with this Agreement or commission any of the transactions contemplated hereby from any of the other parties hereto in connection with or from any Affiliate of the Transactionsother parties hereto.

No agent, broker, investment banker, financial advisor or similar Person or firm acting on behalf of Parent, Merger Sub or any Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or similar fee or commission or reimbursement of expenses from the Company or any of the parties hereto its Affiliates in connection with any of the Transactions.

No agent, broker, Person or firm acting on behalf of Parent, Merger Sub Parent or any Parent Subsidiary of its Subsidiaries or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority of its Subsidiaries’ authority, other than Exxxx & Young, is or will be entitled to any advisory, commission advisory or broker’s or finder’s or other similar fee or commission from any of the parties Parties hereto in connection with any of the Transactions.

No agent, broker, Person person or firm acting on behalf of ParentParent or Sub is, Merger Sub or any Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority is or will be be, entitled to any advisory, commission or broker’s 's or finder’s fee 's fees from Parent or commission from any of the parties hereto Sub in connection with any of the Transactionstransactions contemplated herein.

No Except for Xxxxxxx Xxxxx & Co., no agent, broker, investment banker, or similar Person or firm acting on behalf of Parent, Merger Sub or any Parent Subsidiary or under Parent’s's, Merger Sub’s 's or any Parent Subsidiary’s 's authority is or will be entitled to any advisory, commission or broker’s 's or finder’s 's fee or similar fee or commission from any of the parties hereto in connection with any of the Transactions.

No Except for Xxxxx Xxxxxx & Associates Limited and Xxxxxx & Company, LLC, no agent, broker, Person or firm acting on behalf of Parent, Parent or Merger Sub or any Parent Subsidiary or under Parent’s, ’s or Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any of the parties hereto in connection with any of the Transactionstransactions contemplated hereby.

No Except for Moelis & Co., no agent, broker, Person or firm acting on behalf of Parent, Merger Sub or any Parent Subsidiary or under Parent’s, Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any of the parties hereto in connection with any of the Transactions.

Broker’s or Finder’s Fees. No Except for Credit Suisse Securities (USA) LLC (the “Parent Financial Advisor”), no agent, broker, Person or firm acting on behalf of Parent, Parent or Merger Sub or any Parent Subsidiary or under Parent’s, ’s or Merger Sub’s or any Parent Subsidiary’s authority is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any of the parties hereto in connection with any of the Transactions.
