BSP Conditions a. The present General Framework will come into force subject to the following conditions:  The BSP complies with the qualification conditions set forth in the Open Qualification Procedure (hereinafter referred to as requirements for signature of the General Framework).  The BSP has designated an ARPBSP, being either itself or another party. In the latter case, the BSP communicates to XXXX the name of the ARPBSP according to the template provided in Annex 2; b. The Parties shall ensure that the proper performance of this General Framework is always based on the existence and proper performance of the requisite contractual agreements with third parties involved. x. XXXX is entitled to evaluate, at any time during the validity period of the General Framework, whether the BSP complies with the conditions mentioned in art. 3.1. For the avoidance of doubt and without prejudice to any other regulation, i.e. under the Federal Grid Code, regarding access to grid users’ connection installations, this does not entail any right for XXXX to physically access the BSP’s assets. Unless, the Grid User has given XXXX its explicit authorization to physically access the Grid User’s installations for verification of the Submetering installation, as stipulated in art. 6.6. d. If the BSP no longer complies with conditions in art. 3.1, XXXX will notify the BSP via a registered letter. If after 15 working days upon this notification the BSP remains uncompliant with these conditions, the General framework will be terminated without prior approval by a court of law in accordance with the terms of art. 11 of the General Terms & Conditions. This implies, after termination, if the BSP wants to offer the Service, he must re-apply via the Open Qualification Procedure and sign a new General framework with XXXX, subject to compliance with said conditions. e. For the avoidance of doubt, the Parties are aware of the mutual relationships that exist between the present General framework, other Balancing Service contracts, the XXXX- Supplier Contract, the SDR and SGR contract(s), the ARP Contract(s) and the Connection and Access Contract(s) with XXXX and/or the DSO concerned, as each of them is an essential constituent of the means that XXXX uses to ensure the safety, reliability and efficiency of the XXXX Xxxx. If it is confirmed that the BSP no longer complies with conditions of Art. 3.1.1, XXXX will notify the BSP via a registered letter. If after 15 working days after reception of notification the BSP remains uncompliant with these conditions, the General Framework will be terminated without prior approval by a court of law in accordance with the terms of Article 11 of the General Conditions. This implies, after termination, that if the BSP wants to offer the Service, he must re-apply via the Open Qualification Procedure and sign a new General Framework for the Service with XXXX, subject to compliance with said conditions. 3.1.3. The BSP allows XXXX to publish aggregated and anonymized information relating to the procurement results on XXXX’x website. 3.1.5. Once the General Framework is signed and before submitting a Capacity Bid, the BSP must successfully complete the Procedure for BSP Acceptance as specified in Annex 6. BSPs not in respect with requirements of the Procedure for BSP Acceptance are not allowed to participate in auctions.

The observance of the rules set out in the aforementioned contracts is necessary for the proper implementation of the present General Framework. e. The BSP allows XXXX to publish aggregated and anonymized information relating to the procurement results on XXXX’x website.

Related to BSP Conditions

  • Termination Conditions Such license shall not be terminated or its exploitation enjoined, until and unless: (i) Hitachi has committed a material breach of its obligations under this IP License Agreement, Opto-Device has given written notice of such breach to Hitachi and such breach remains uncured after the Cure Period, or, in the case of a breach, which cannot be cured within such Cure Period, Hitachi has not instituted within such Cure Period steps necessary to remedy the default and/or thereafter has not diligently pursued the same to completion; or (ii) such a material breach is incurable. In the event the breach is a curable breach that cannot be cured within the Cure Period but with respect to which Hitachi has instituted steps necessary to remedy the default and is thereafter diligently pursuing such cure, both parties shall negotiate to determine whether further pursuit of such cure is reasonable. If the parties cannot agree on a resolution in such negotiations, then this issue shall be referred to arbitration pursuant to the arbitration procedures set forth in Exhibit B hereto to decide whether such breach can be cured or any other alternative remedy should be adopted. In the event the breach is an incurable breach, the parties agree that the matter shall be referred to arbitration pursuant to the arbitration procedures set forth in Exhibit B hereto to determine the appropriate remedy. In the event that either party submits the dispute to arbitration, both parties shall cooperate in such binding arbitration in accordance with Exhibit B.

  • Safe Conditions Whenever an employee reports a condition which the employee feels represents a violation of safety or health rules and regulations or which is an unreasonable hazard to persons or property, such conditions shall be promptly investigated. The appropriate administrator shall reply to the concern, in writing, if the employee's concern is communicated in writing.

  • Unsafe Conditions In accordance with 29 CFR § 1977, occasions might arise when an employee is confronted with a choice between not performing assigned tasks or subjecting himself/herself to serious injury or death arising from a hazardous condition at the workplace. If the employee, with no reasonable alternative, refuses in good faith to expose himself/herself to the dangerous condition, he/she would be protected against subsequent discrimination. The condition causing the employee's apprehension of death or injury must be of such a nature that a reasonable person, under the circumstances then confronting the employee, would conclude that there is a real danger of death or serious injury and that there is insufficient time, due to the urgency of the situation, to eliminate the danger by resorting to regular statutory enforcement channels. In addition, in such circumstances, the employee, where possible, must also have sought from his Employer, and been unable to obtain, a correction of the dangerous condition.

  • Specific Conditions If applicable, specific conditions required after a risk assessment will be included in Exhibit G. Grantee shall adhere to the specific conditions listed therein.

  • Market Conditions Notwithstanding any provision of this Agreement to the contrary, settlement and payment for Foreign Assets received for the account of the Portfolios and delivery of Foreign Assets maintained for the account of the Portfolios may be effected in accordance with the customary established securities trading or processing practices and procedures in the country or market in which the transaction occurs, including, without limitation, delivering Foreign Assets to the purchaser thereof or to a dealer therefor (or an agent for such purchaser or dealer) with the expectation of receiving later payment for such Foreign Assets from such purchaser or dealer. The Custodian shall provide to each Board the information with respect to custody and settlement practices in countries in which the Custodian employs a Foreign Sub-Custodian described on Schedule C hereto at the time or times set forth on such Schedule. The Custodian may revise Schedule C from time to time, provided that no such revision shall result in a Board being provided with substantively less information than had been previously provided hereunder.

  • Test conditions 6.1.1. The test shall be performed on a flat, dry concrete or asphalt surface affording good adhesion. 6.1.2. The ambient temperature shall be between 0°C and 45°C. 6.1.3. The horizontal visibility range shall allow the target to be observed throughout the test.

  • Existing Conditions Tenant accepts the Property in its condition as of the execution of the Lease, subject to all recorded matters, laws, ordinances, and governmental regulations and orders.   • Prior Conditions Satisfied All conditions set forth in §10 shall continue to be satisfied as of the date upon which any Loan is to be made or any Letter of Credit is to be issued.
