Budget and Plan of Operations. Not less often than annually, the Board (as such term is defined in subsection 1.2.1 below) shall cause to be prepared and shall approve a budget (the "Budget") for the Corporation, which sets forth the estimated receipts and expenditures of the Corporation for the period covered thereby, and a plan of operations (the "Plan") for the Corporation, which sets forth the projected business goals and methods of achieving such goals of the Corporation for the period covered thereby. The Board (as such term is defined in subsection 1.2.1 below) shall meet periodically to discuss the results of the business operations of the Corporation and to evaluate the Plan and the Budget, and may, as it deems in the best interest of the Corporation, update a Budget during a year as frequently as it wishes, in light of its evaluations of the business operations and Plan of the Corporation for such year. Concurrently with the execution and delivery of this Agreement, the Board (as such term is defined in subsection 1.2.1 below) has approved an initial Budget and Plan for the Corporation. Upon approval of a Budget (including any update thereof) and Plan for the Corporation, the officers of the Corporation shall adhere to the Plan and the Budget and are only authorized to expend funds and incur liabilities on behalf of the Corporation as therein set forth.

  • Cessation of Operations Any cessation of operations by Borrower or Borrower admits it is otherwise generally unable to pay its debts as such debts become due, provided, however, that any disclosure of the Borrower’s ability to continue as a “going concern” shall not be an admission that the Borrower cannot pay its debts as they become due.

  • Conduct of Operations The Board of Directors and the General Partner shall use commercially reasonable efforts to conduct the business of the Partnership and its Affiliates in a manner that does not require a holder of Common Units to file a tax return in any jurisdiction with which the holder has no contact other than through ownership of Common Units.

In furtherance of the foregoing, from the date of this Agreement until the Effective Time, except (A) as otherwise expressly permitted by this Agreement, (B) as Parent may approve in writing (such approval not to be unreasonably withheld, delayed or conditioned), (C) as is required by applicable Law or any Governmental Entity or (D) as set forth in Section 6.1(a) of the Company Disclosure Letter, the Company will not and will not permit its Subsidiaries to:

  • Prospectus Revisions -- Audited Financial Information Except as otherwise provided in subsection (m) of this Section 4, on or prior to the date on which there shall be released to the general public financial information included in or derived from the audited financial statements of the Company for the preceding fiscal year, the Company shall cause the Registration Statement and the Prospectus to be amended, whether by the filing of documents pursuant to the 1934 Act, the 1933 Act or otherwise, to include or incorporate by reference such audited financial statements and the report or reports, and consent or consents to such inclusion or incorporation by reference, of the independent accountants with respect thereto, as well as such other information and explanations as shall be necessary for an understanding of such financial statements or as shall be required by the 1933 Act or the 1933 Act Regulations.

  • Financial Statements and Condition The Borrower’s audited consolidated financial statements as of December 31, 2020, and the Borrower’s unaudited quarterly financial statements as of June 30, 2021, as heretofore furnished to the Banks, have been prepared in accordance with GAAP on a consistent basis (except, in the case of the unaudited quarterly financial statements, for the absence of footnotes and for year-end audit adjustments) and fairly present in all material respects the financial condition of the Borrower and the Subsidiaries, taken as a consolidated enterprise, as at such dates and the results of their operations for the fiscal year then ended. As of the dates of such consolidated financial statements, neither the Borrower nor any Material Subsidiary had any material obligation, contingent liability, liability for taxes or long term lease obligation which is not reflected in such consolidated financial statements or in the notes thereto. Since December 31, 2020, no Adverse Event has occurred.
