Common use of Business Conducted Clause in Contracts

Business Conducted. No Borrower shall or shall permit any of its Subsidiaries to engage, directly or indirectly, in any line of business other than the businesses in which such Person is engaged on the Closing Date or which are reasonably related thereto, including without limitation the design, marketing and distribution of any products covered by the International Housewares Association.

No Borrower shall or nor shall it permit any of its Subsidiaries to engageto, engage directly or indirectly, in any line of business other than the businesses in which such Person is engaged on the Closing Date or which are reasonably (after giving effect to the Spinoff) and similar businesses that manufacture products, and provide related theretoservices, including without limitation the design, marketing and distribution of any products covered by the International Housewares Associationfor sale to industrial customers.
