Common use of Business Expenses; Memberships Clause in Contracts

Business Expenses; Memberships. The Employer agrees to reimburse the Executive for (a) reasonable business (including travel) expenses incurred by the Executive in the performance of the Executive’s duties hereunder and (b) the dues and business related expenditures, including initiation fees, associated with membership in professional associations which are commensurate with the Executive’s position; provided, however, that the Executive must, as a condition of reimbursement, submit verification of the nature and amount of such expenses in accordance with reimbursement policies from time to time adopted by the Employer and in sufficient detail to comply with rules and regulations promulgated by the Internal Revenue Service.

The Company and the Employer agrees specifically agree to reimburse the Executive for (a) reasonable and necessary business (including travel) expenses incurred by the Executive in the performance of the Executive’s duties hereunder and (b) including without limitation the reasonable dues and business business-related expendituresexpenses, including exclusive of initiation fees, associated with membership in professional associations which are commensurate with civic and social memberships selected by the Executive’s positionExecutive and approved by the Company of the Employer); provided, however, that the Executive mustshall, as a condition of reimbursement, submit verification of the nature and amount of such expenses in accordance with reimbursement policies from time to time adopted by the Company or the Employer and in sufficient detail to comply with rules and regulations promulgated by the Internal Revenue Service.
