Common use of Business Records and Due Diligence Clause in Contracts

Business Records and Due Diligence. Prior to the Closing, Pubco delivered to BBC all records and documents relating to Pubco, which Pubco possesses, including, without limitation, books, records, government filings, Charter Documents, corporate records, stock records, consent decrees, orders, and correspondence, director and stockholder minutes, resolutions and written consents, stock ownership records, financial information and records, and other documents used in or associated with Pubco and Pubco’s subsidiaries, if any.

Prior to the Closing, Pubco delivered to BBC Priveco all records and documents relating to Pubco, which Pubco and possesses, including, without limitation, books, records, government filings, Charter Tax Returns, Organizational Documents, corporate records, stock records, consent decrees, orders, and correspondence, director and stockholder minutes, resolutions and written consents, stock ownership records, financial information and records, and other documents used in or associated with Pubco and Pubco’s subsidiaries, if any.

Prior to the Closing, Pubco delivered to BBC Soul all records and documents relating to Pubco, which Pubco possesses, including, without limitation, books, records, government filings, Tax Returns, Charter Documents, corporate records, stock records, consent decrees, orders, and correspondence, director and stockholder minutes, resolutions and written consents, stock ownership records, financial information and records, and other documents used in or associated with Pubco and Pubco’s subsidiaries, if any.
