Common use of Business Records and Due Diligence Clause in Contracts

Business Records and Due Diligence. Prior to the Closing, Pubco delivered to Priveco all records and documents relating to Pubco, which Pubco and possesses, including, without limitation, books, records, government filings, Tax Returns, Organizational Documents, corporate records, stock records, consent decrees, orders, and correspondence, director and stockholder minutes, resolutions and written consents, stock ownership records, financial information and records, and other documents used in or associated with Pubco.
