Common use of Buyer and Seller Responsibilities Clause in Contracts

Buyer and Seller Responsibilities. 2.1. Buyer shall be responsible for correctly specifying and advising Seller of its requirements for the Goods, including, where applicable, design specifications, and is responsible for any discrepancies, errors or omissions in drawings, documentation or other information supplied in writing by it, if any, or between such documents and any of the other documents forming part of this Agreement. Xxxxx agrees that the design specifications and requirements described in Xxxxx’s documents delivered to Seller correctly represent Xxxxx’s requirements for the Goods as advised to Seller, and acknowledges that Seller’s supply of the Goods will be based on such design specification and requirements.
