Common use of Buyer Common Stock Clause in Contracts

Buyer Common Stock. The shares to be issued by Buyer pursuant to this Agreement have been duly authorized and, when issued in accordance with the terms of the this Agreement, will be validly authorized and issued and fully paid and nonassessable, and no shareholder of Buyer will have any preemptive rights or dissenter's rights with respect thereto.

Buyer Common Stock. The All shares of Buyer Common Stock issuable to be issued by Buyer Seller pursuant to this Agreement have been duly authorized and, when issued in accordance with the terms of the this Agreement, upon issuance will be duly authorized, validly authorized and issued and issued, fully paid and nonassessable. Seller shall receive valid title to all such shares, free and clear of all liens, encumbrances, and no shareholder security agreements.
