Buyer's Counsel Opinion. Special counsel to Buyer shall opine, in a manner reasonably satisfactory to Seller, with respect to the following matters (defined terms used herein shall have the meanings set forth in the Stock Purchase Agreement dated as of May 1, 1998):
Buyer's Counsel Opinion. Sellers shall have received an opinion of Duane, Morris & Heckscher LLP, counsel to Buyer, dated as of the Closing Date, in the form of Exhibit 7.2(e).
Buyer's Counsel Opinion. Seller shall have received from Colombo & Colombo, Counsel for Buyer, or any other counsel designated by Buyer and reasonably satisfactory to Seller, an opinion, dated the Closing Date, in form and substance reasonably satisfactory to Seller's counsel, to the effect that:
7.1.1 Buyer is a corporation organized, validly existing and in good standing under the laws of the State of Delaware.
7.1.2 Buyer has the corporate power to execute and deliver this Agreement and to consummate the transactions contemplated hereby, and all corporate action by Buyer required to authorize and consummate the transactions contemplated hereby has been taken.
7.1.3 This Agreement has been duly authorized, executed and delivered by Buyer, and (assuming due and valid authorization, execution and delivery thereof by Seller) constitutes a valid and legally binding agreement of Buyer, subject to enforcement, bankruptcy, insolvency, reorganization and other laws of general applicability relating to or affecting creditors' rights and to general equity principles.
Buyer's Counsel Opinion. Buyer's Counsel Opinion" shall mean the opinion of Quarles & Brady in subxxxxxxxlly xxx form of Exhibit 3 attached to this Agreement.
Buyer's Counsel Opinion. Buyer's Counsel shall have delivered the opinion in the form of Exhibit "D".
Buyer's Counsel Opinion. Seller shall have received an opinion of ----------------------- Xxxx X. Xxxxxxxxx, Esq., General Counsel of Buyer, dated as of Closing, in the form of Exhibit D. ---------
Buyer's Counsel Opinion. Buyer shall have caused to be delivered to Seller an opinion letter, in form and substance satisfactory to Seller, of Citi-Legal LLC, acting as counsel for Buyer, dated the Closing Date.
Buyer's Counsel Opinion. Sellers shall have received the ----------------------- opinion of counsel to Buyer and WGI, dated as of the Closing Date, in form and substance satisfactory to Sellers, with respect to the matters in Sections 5.1, 5.2, 5.3 and 5.6.
Buyer's Counsel Opinion. Xxxxxx shall have received the opinion of counsel for Buyer and Parent in form and substance reasonably satisfactory to Xxxxxx.
Buyer's Counsel Opinion. Harrxx xxxll have received the opinion of counsel for Buyer and Parent in form and substance reasonably satisfactory to Harrxx.
