Common use of Buyer’s Responsibility Clause in Contracts

Buyer’s Responsibility. Except to the extent of Seller's or its Affiliates', or their respective officers', directors', employees', agents' or subcontractors', gross negligence or willful misconduct, and subject to Sections 10.2 and 10.3, Buyer shall be responsible for all physical damage to or destruction of property, equipment and/or facilities owned by Buyer and/or its Affiliates, employees, agents, or subcontractors, regardless of who brings the claim and regardless of who caused the damage and Buyer shall not seek recovery or reimbursement from Seller for such damage.‌
