Common use of Buyer’s Rights Clause in Contracts

Buyer’s Rights. Subject to clause 12.2(b), if this Contract is terminated the Buyer: a. will only be liable to pay Charges that were due for Goods delivered before the effective date of termination, and b. may recover from the Supplier or set off against sums due to the Supplier, any Charges paid in advance for Goods that have not been provided.
