By AAFC for Cause. ‌ The License, at the option of AAFC, without prejudice to any other rights in law or equity or any other legal basis or principles held by AAFC (including any right of indemnity), may be terminated forthwith by AAFC without compensation to the Company if: Commercial Efforts the Company fails to use reasonable commercial efforts to Sell the seed created by exercising the Licensed Rights; No Payment the Company fails to make any payment provided for herein and does not make such payment within sixty (60) days of the due date irrespective of whether or not a reminder or other notification was sent to the Company; Quality Control and Audit the Company refuses, neglects, or fails to meet quality standards, or allow access for quality audit purposes contrary to Article 6 (Records, Quality Control and Audit), or provide or allow the audit of the reports and records as required under Article 6 (Records, Quality Control and Audit) and does not remedy the breach within sixty (60) days after being required in writing to do so by AAFC; Ceases Business the Company ceases to actively carry on business; Multiple Breaches the Company breaches three (3) or more provisions of the License within any consecutive twelve (12) month period, notwithstanding that such breaches were subsequently cured; Criminal Conviction the Company was convicted of a criminal or regulatory offence, the nature of which directly or indirectly affects the ability of the Company to conduct itself under the License, or to Sell the seed created by exercising the Licensed Rights, in an effective and timely manner, or otherwise prejudices Sales; General Breach the Company commits or permits a material breach of any of the other terms and conditions herein contained, and does not remedy such breach within sixty (60) days after being required in writing to do so by AAFC;

  • For Cause For a material breach that remains uncured for more than thirty calendar days or other specified period after written notice to the Contractor, the Contract or Purchase Order may be terminated by the Commissioner or Authorized User respectively, at the Contractor’s expense where Contractor becomes unable or incapable of performing, or meeting any requirements or qualifications set forth in the Contract, or for non-performance, or upon a determination that Contractor is non-responsible. Such termination shall be upon written notice to the Contractor. In such event, the Commissioner or Authorized User may complete the contractual requirements in any manner it may deem advisable and pursue available legal or equitable remedies for breach.

  • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default. If Vendor does not cure such default within thirty (30) days, TIPS may terminate this Agreement, in whole or in part, for cause.   • TERMINATION FOR CAUSE BY CITY 4.05.1 If Contractor defaults under this Agreement, the Director may terminate this Agreement after providing Contractor written notice and an opportunity to cure the default as provided below.   • Discipline for Cause No member shall be reduced in pay or position, suspended, removed, or reprimanded except for just cause. In the event of a grievance, employees shall appeal disciplinary actions which result in time-off without pay, or removal to Step Three of the grievance procedure within seven (7) calendar days after written notice of such action is served upon the affected member. Probationary removals or reductions are not appealable to the grievance procedure. Employees given written reprimands of record may, upon request, meet with the Chief Deputy and/or the Sheriff (or designee) to discuss the discipline. This meeting can be conducted with or without Union representation. The results of such meetings shall not be subject to appeal through the grievance procedure. If a member disagrees with the verbal or written reprimand, the member may write a memorandum to the Sheriff explaining the reason(s) for the disagreement. The memorandum will be attached to the reprimand.
