MULTIPLE BREACHES. If within any period of twelve (12) months, a breach of the kind set forth in Section 23.1.1 or 23.1.3 shall occur on two (2) separate occasions, and notice thereof shall be given to Tenant under the aforesaid section and either (a) Tenant shall cure such breach within the applicable cure period or (b) Landlord shall, in its sole discretion, permit Tenant to cure such breach after the applicable cure period has expired, then, in any of such events, Landlord may, at any time thereafter, give notice to Tenant stating that this Lease and the Lease Term shall automatically expire and terminate on the date specified in such notice, which date shall be three (3) days after the giving of such notice, and upon the expiration of such three (3) day period, this Lease and the Lease Term and all rights of Tenant under this Lease shall automatically expire and terminate as if the date on which such three (3) day period expires were the Expiration Date, and Tenant shall immediately quit and surrender the Premises to Landlord.

  • Waiver of Breach; Specific Performance The waiver of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any other breach. Each of the parties to this Agreement will be entitled to enforce this Agreement, specifically, to recover damages by reason of any breach of this Agreement, and to exercise all other rights existing in that party’s favor. The parties hereto agree and acknowledge that money damages may not be an adequate remedy for any breach of the provisions of this Agreement and that any party may apply to any court of law or equity of competent jurisdiction for specific performance or injunctive relief to enforce or prevent any violations of the provisions of this Agreement.

  • Material Breach A material breach for purposes of this Agreement shall include, but not be limited to:

  • No Breaches The Corporation is not in violation of, and the consummation of the transactions contemplated hereby do not and will not result in any material breach of, any of the terms or conditions of any mortgage, bond, indenture, agreement, contract, license or other instrument or obligation to which the Corporation is a party or by which its assets are bound; nor will the consummation of the transactions contemplated hereby cause BMTS to violate any applicable statute, regulation, judgment, writ, injunction or decree of any court, threatened or entered in a proceeding or action in which the Corporation is, was or may be bound or to which any of the Corporation's assets are subject.

This Agreement represents a legal, valid, and binding obligation of Premiere, enforceable against Premiere in accordance with its terms (except in all cases as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization, receivership, conservatorship, moratorium, or similar Laws affecting the enforcement of creditors' rights generally and except that the availability of the equitable remedy of specific performance or injunctive relief is subject to the discretion of the court before which any proceeding may be brought).
