By ARTC. (a) The Access Holder agrees that ARTC may, by prior written notice to the Access Holder, assign or novate this agreement, its interest in the subject matter of this agreement or any right under this agreement:

By ARTC. (a) Other than to a successor of ARTC or to any body established by any person in relation to the management of the Network or any relevant or material part of it, ARTC may not assign or novate this Agreement, its interest in the subject matter of this Agreement or any right under this Agreement without the prior written consent of the Operator which consent will not be unreasonably withheld.
By ARTC. (a) Subject to clause 16.1(b), ARTC may not assign, novate, sell, trade, sub- licence or otherwise dispose of this agreement, its interest in the subject matter of this agreement or any right under this agreement without the prior written consent of the Access Holder, which will not be unreasonably withheld.
