Assignment or novation Sample Clauses

The Assignment or Novation clause governs whether and how a party to the contract can transfer its rights or obligations to another party. Typically, this clause specifies if prior written consent is required before such a transfer can occur, and may distinguish between assignment (transfer of rights) and novation (transfer of both rights and obligations, with the original party being released). Its core function is to ensure that all parties maintain control over who they are contractually bound to, thereby preventing unwanted or unexpected changes in the parties responsible for performing under the agreement.
