Assignment or novation. 17.1 You may not assign, transfer or novate this Agreement without our consent.
17.2 You agree we may:
(a) assign, transfer or novate this Agreement; and/or
(b) transfer you as a customer, to any of our related bodies corporate or as part of the transfer of a substantial number of our customers to a third party. You’ll be notified of any assignment, transfer or novation.

You agree we may: • assign, transfer or novate this Agreement; and/or • transfer you as a customer, to any third party, any of our related bodies corporate or as part of the transfer of a substantial number of our customers to a third party. Assignment or novation. (a) The Contractor may not assign or novate this agreement or otherwise deal with the benefit of it or a right under it, without the prior written consent of REA (such consent not to be unreasonably withheld).
(b) REA may by notice to the Contractor assign or novate this agreement to any Related Body Corporate or entity that replaces or assumes REA rights and obligations. If requested, the Contractor agrees to execute such documents as XXX may reasonably and lawfully require to formalise such assignment or novation.
Assignment or novation. This agreement may not be assigned or novated by the Authorised Representative without the Licensee’s prior written consent.
Assignment or novation. 19.1 By ARTC
(a) Other than to a successor of ARTC or to any body established by any person in relation to the management of the Network or any relevant or material part of it, ARTC may not assign or novate this Agreement, its interest in the subject matter of this Agreement or any right under this Agreement without the prior written consent of the Operator which consent will not be unreasonably withheld.
(b) Nothing in clause 19.1(a) prevents ARTC from entering into any sub-contracting or agency agreements or arrangements in relation to any of its functions.
Assignment or novation. The Customer agrees to an assignment of this Agreement from the Vendor to a third party provided that the proposed assignee agrees to be bound by the obligations on the part of the Vendor set out in this Agreement.
Assignment or novation. Neither party may assign or novate this Agreement or otherwise deal with the benefit of it or a right under it, without the prior written consent of the other party (which will not be unreasonably withheld).
Assignment or novation. The Contractor shall not assign or transfer, whether by an assignment or novation, any of its rights, duties, benefits, obligations, liabilities, or responsibilities under this Contract without the written consent of the County; provided, however, that assignments to banks or other financial institutions may be made without the consent of the County. No assignment or novation of this Contract shall be valid unless the assignment or novation expressly provides that the assignment of any of the Contractors rights or benefits under the Contract is subject to a prior lien for labor performed, services rendered, and materials, tools, and equipment supplied for the performance of the work under this Contract in favor of all persons, firms, or corporations rendering such labor or services or supplying such materials, tools, or equipment.
Assignment or novation. Note: Generally, FreightCorp and Toll suggest (at paragraph 33 of the comments on Schedule C of the access undertaking) reciprocal assignment provisions that address, objectively, relevant concerns of both ARTC and the Operator
Assignment or novation.
32.1. The Service Provider must not assign its rights, or any part of its rights, under this Contract, or novate this Contract, without the prior consent in writing of the Commonwealth. The Commonwealth reserves the right to audit the Service Provider before agreeing to an assignment of rights or novation of this Contract. The Service Provider must seek the Commonwealth's consent to assignment or novation at least twenty (20) Working Days before the proposed date of effect of an assignment or novation.
32.2. The Commonwealth may in its absolute discretion refuse to give its consent to a proposed assignment or novation, or in giving its consent impose such conditions as it thinks fit.
