By Expiration. the effective date of such termination for Executive's accrued and unused vacation benefits up to a maximum of four weeks, (v) any amounts reimbursable but unpaid to Executive at the date of such termination shall be reimbursed to Executive pursuant to the provisions of paragraph 3.7 and any amounts owed but unpaid to Executive under any plan, policy or program of Company (other than Company's vacation policy, which is addressed in clause (iv) above) as of the date of termination shall be paid to Executive at the time and to the extent provided by, and in accordance with the terms of, such plan, policy or program and this Agreement, and (vi) Executive shall be provided with a reserved parking place at Xxxxxx Xxxx Intercontinental Airport in Houston, Texas consistent with past practice, in a location that is the same or equivalent to that regularly used by Company's senior executives, at Company's cost and for Executive's lifetime as long as Executive retains a residence in Houston, Texas (provided, however, that to the extent the benefit described in this clause (A)(vi) and any other miscellaneous separation pay benefits subject to Section 409A of the Code that are provided to Executive during the first six-months following Executive's termination of employment have an aggregate value in excess of the applicable dollar amount under Section 402(g)(1)(B) of the Code for the year in which such termination occurs, Executive shall pay to Company, at the time such benefits are provided, the fair market value of such benefits, and Company shall perform its obligations reimburse Executive (with respect to interest thereon at the automobile then used by Executive Aa Corporate Bond Rate (as provided defined in subparagraph 3.7(iparagraph 3.5(vii), but determined as of the last day of the second month preceding the first day of the month coinciding with or next following the date of Executive's termination of employment) for any such payment not later than the fifth day following the expiration of such six-month period), and (B) if such termination shall result from Company's delivery of the written notice described in paragraph 2.1, then Company shall (i) cause all options and shares of restricted stock awarded to Executive to vest immediately upon such termination and, with respect to options, be exercisable in full for 30 days after such terminationtermination (but in no event later than the earlier of the latest date upon which the option could have expired by its original terms under any circumstances or the tenth anniversary of the original date of grant of the option), (ii) cause all Awards made if such termination occurs prior to Executive under Company's Officer Retention and Incentive Award Program the date upon which a Change in Control ("Retention Program"as such term is defined in paragraph 4.8) to vest immediately upon such terminationoccurs, (iii) cause Company to pay to Executive, at the same time as other Payment Amounts with respect to Awards are paid to other participants under Company's Long Term Incentive Performance Award and RSU Program (the "LTIPNLTIP/RSU Program") (or, if a Change in Control occurs prior to such payment date and prior to the date for which a potential payment under the NLTIP/RSU Program ceases to exist for the relevant Award, on the date upon which such Change in Control occurs), all Payment Amounts with respect to Awards made to Executive under the LTIP having NLTIP/RSU Program for which a Performance Period that has not been completed potential payment under the NLTIP/RSU Program exists as of the date of Executive's terminationtermination of employment, as if Executive had remained employed by Company in his Executive's current position through the end of each date that would entitle Executive to the maximum payment with respect to such Performance Period Awards under the NLTIP/RSU Program (calculated using the Base Amount of Executive in effect on the day immediately preceding such termination), less any amounts paid (iii) if such termination occurs on or after the date upon which a Change in Control occurs, pay to Executive, within five business days after the date of such termination, all Payment Amounts with respect to Awards made to Executive under the LTIP upon NLTIP/RSU Program for which a potential payment under the occurrence NLTIP/RSU Program exists as of a Qualifying Event the date of Executive's termination of employment, as if Executive had remained employed by Company in Executive's current position through the date that would entitle Executive to the maximum payment with respect to such Awards under the NLTIP/RSU Program (calculated using the Base Amount of Executive in connection with a Change in Control (effect on the day immediately preceding such capitalized terms to have the meanings ascribed thereto in the LTIPtermination), (iv) pay Executive on or before the effective date of such termination a lump-lump sum, cash payment in an amount equal to the Termination PaymentPayment (provided, however, that if the payment of the Termination Payment would be subject to additional taxes and interest under Section 409A of the Code because the timing of such payment is not delayed as provided in Section 409A(a)(2)(B)(i) of the Code and the regulations thereunder, then such amount shall be paid within five business days after the Section 409A Payment Date), and (v) provide Executive with Outplacement, Office and Related Services Incidental Perquisites (as such term is defined in paragraph 4.7 4.8 and for the time periods described therein; provided, however, that to the extent the Incidental Perquisites and any other miscellaneous separation pay benefits subject to Section 409A of the Code that are provided to Executive during the first six-months following Executive's termination of employment have an aggregate value in excess of the applicable dollar amount under Section 402(g)(1)(B) of the Code for the year in which such termination occurs, Executive shall pay to Company, at the time such benefits are provided, the fair market value of such benefits, and Company shall reimburse Executive (with interest thereon at the Aa Corporate Bond Rate (as defined in paragraph 3.5(vii), but determined as of the last day of the second month preceding the first day of the month coinciding with or next following the date of Executive's termination of employment)) for any such payment not later than the fifth day following the expiration of such six-month period). Capitalized terms used in clauses (ii) and (iii) of the preceding sentence that are not defined elsewhere in this Agreement have the meanings ascribed thereto in the NLTIP/RSU Program as in effect on the Effective Date. If the payment of the Termination Payment is delayed as provided in the parenthetical set forth in clause (B)(iv) of the first sentence of this paragraph, then (1) interest on such delayed payment for the period beginning on the date of Executive's termination of employment and ending on the date of the payment of the Termination Payment at the Aa Corporate Bond Rate (as determined as provided in clause (B)(v) of the first sentence of this paragraph) shall also be paid by Company to Executive at the time of the payment of the Termination Payment, and (vi2) pay any amounts owed but unpaid to Executive under any planCompany shall, policy on or program of Company as of soon as practicable after the date of Executive's termination of employment, contribute cash in an amount equal to the Termination Payment plus the interest described in clause (1) of this sentence (based on the assumption that the payment will be delayed for six months) to an irrevocable grantor ("rabbi") trust of which Executive is the sole beneficiary and the trustee of which is a nationally-recognized and solvent bank or trust company that is not affiliated with Company (subject to the claims of Company's creditors, as required pursuant to applicable Internal Revenue Service guidance to prevent the imputation of income to Executive prior to distribution from the trust), pursuant to which the Termination Payment plus applicable interest shall be payable from the trust at the time provided byherein, provided that (x) to the extent such amount is paid to Executive by Company, the trust shall pay such amount to Company, and (y) in accordance with no event shall cash be transferred to the terms of, trust during any period in which such plan, policy or programtransfer would result in adverse tax consequences to Executive pursuant to Section 409A(b)(3) of the Code.

By Expiration. If the Executive's ’s employment hereunder shall terminate upon expiration of the term provided in paragraph 2.1 hereofSection 4 hereof (including the expiration of any automatically extended term), then all compensation obligations of the Employer and all benefits to the Executive hereunder shall under Sections 1 and 2 will terminate contemporaneously with termination of his employment, except that (A) and the benefits described in paragraph 3.5 shall continue to be payable, Executive shall be provided Flight Benefits (as such term is defined in paragraph 4.7) for the remainder of Executive's lifetime, Executive and his eligible dependents shall be provided Continuation Coverage (as such term is defined in paragraph 4.7) for the remainder of Executive's lifetime, and Company shall perform its obligations with respect Employer will pay or provide to the automobile then used by Executive as provided in subparagraph 3.7(i) and (B) if such termination shall result from Company's delivery of the written notice described in paragraph 2.1, then Company shall only (i) cause all options and shares the Executive’s Base Salary through the Date of restricted stock awarded to Executive to vest immediately upon such termination and, with respect to options, be exercisable in full for 30 days after such termination, Termination; (ii) cause all Awards made to any incentive compensation due the Executive under Company's Officer Retention and Incentive Award Program ("Retention Program") to vest immediately upon such terminationif, (iii) cause Company to pay to Executive, at the same time as other Payment Amounts with respect to Awards are paid to other participants under Company's Long Term Incentive Performance Award Program ("LTIP"), all Payment Amounts with respect to Awards made to Executive under the LTIP having a Performance Period that has not been completed as terms of the date of Executive's terminationrelevant incentive compensation arrangement, as if Executive had remained employed by Company in his current position through such incentive compensation was due and payable to the end of each such Performance Period (calculated using the Base Amount of Executive in effect on the day immediately preceding such termination), less any amounts paid to Executive under the LTIP upon the occurrence of a Qualifying Event with respect to Executive in connection with a Change in Control (such capitalized terms to have the meanings ascribed thereto in the LTIP), (iv) pay Executive on or before the effective date Date of such termination a lump-sumTermination; (iii) those benefits that are provided by retirement and benefit plans and programs adopted and approved by the Employer for the Executive that are earned and vested by the Date of Termination; (iv) any rights the Executive or his heirs, cash payment survivors, beneficiaries or administrators may have under any grants of options to purchase the Employer’s Common Stock or under any awards of restricted stock or other equity- based awards; and (v) medical and similar employee welfare benefits the continuation of which is required by applicable law or as provided by the applicable benefit plan (together, the benefits and payments described in clause (i) through (v) are herein referred to as the “Earned Benefits”). If the election to not extend the term of this Agreement is made by the Employer other than for reasons set forth in Section 5(a)(i), (ii) or (iii), then after the Date of Termination the Employer shall also pay or provide to the Executive (A) an aggregate amount equal to two times (x) the Executive’s Base Salary at the annual rate in effect immediately before the Date of Termination Paymentplus (y) the Executive’s annual cash bonus at the target performance level for the year in which the Date of Termination occurs (such amount in this clause (A) to be paid in twenty-four equal installments, each installment to be paid on or before the fifteenth day of each calendar month beginning with the first calendar month after the Date of Termination), (vB) provide each option to acquire Common Stock held by the Executive with Outplacement, Office immediately prior to the Date of Termination that would vest solely due to the passage of time within 365 days after such date as well as the Initial Option Grant shall become fully exercisable as of the Date of Termination in each case regardless of whether the time-vesting conditions set forth in the relevant stock option agreement have been satisfied and Related Services (as each such term is defined in paragraph 4.7 option and for all other options that by their terms become exercisable during the time periods described therein)365 days after the Date of Termination shall remain exercisable until the later of the first anniversary of the Date of Termination and the date such option would otherwise cease to be exercisable, and (viC) pay all forfeiture restrictions on any amounts owed but unpaid restricted Common Stock held by the Executive immediately prior to Executive under any plan, policy or program the Date of Company Termination that would lapse based solely on the passage of time within 365 days after such Date of Termination as well as on the Time Based Stock Grant and the Performance Based Stock Grant shall lapse as of the date Date of termination at Termination and such shares shall be freely transferable (subject to applicable securities laws), in each case regardless of whether the time provided by, and based conditions set forth in accordance with the terms of, such plan, policy or programrelevant restricted stock agreements have been satisfied.
