Bylaws of the Board. The Board shall adopt bylaws governing the management of its business and the regulation of its affairs, including but not limited to procedures for electing officers and specifying their duties, calling meetings and establishing a quorum for meetings of the Board. Approval of the initial bylaws and any amendments thereto shall require the unanimous approval of the Board.
Bylaws of the Board. The Board shall adopt, and from time to time amend by vote, the Bylaws of the Board as necessary or helpful in order for the Board to ▇▇▇▇▇▇, facilitate or achieve the purposes expressed within this Agreement. These Bylaws shall govern all proceedings of the Board.

  • Certificate of Incorporation and Bylaws of the Surviving Corporation (a) The certificate of incorporation of the Purchaser, as in effect immediately prior to the Effective Time, shall be the certificate of incorporation of the Surviving Corporation, until thereafter amended in accordance with the provisions thereof and hereof and applicable law. (b) Subject to the provisions of Section 6.05 of this Agreement, the by-laws of the Purchaser in effect at the Effective Time shall be the by-laws of the Surviving Corporation, until thereafter amended in accordance with the provisions thereof and hereof and applicable law.
