Calculation Agent Compensation. As compensation for its Calculation Agent activities hereunder, the Calculation Agent shall be entitled to the Calculation Agent Fees from the Borrower, payable pursuant to the extent of funds available therefor pursuant to the provisions of Section 2.08, provided that if such amounts are insufficient then Sections 8.10 and 11.07 shall be applicable. The Calculation Agent’s entitlement to receive the Calculation Agent Fees shall cease on the earlier to occur of (i) its removal as Calculation Agent as provided in Section 8.01(b), (ii) its resignation as Calculation Agent as provided in Section 8.09 or (iii) the termination of this Agreement; provided that the Calculation Agent shall be entitled to any fees accrued and payable up to such date to the extent not previously paid.
