Calling of Board Meetings. Regular meetings of the Board shall take place not less often than quarterly at such place, date and time as the Chairman shall determine. Special meetings of the Board may be called by the Chairman or at the direction of any other Director at such place, date and time as the Chairman or such other Director shall determine.

Special meetings of the Board may be called by the Chairman or at the direction of any two (2) Directors on at least twenty-four (24) hours’ prior written notice to the other Director Managers, which notice shall state the purpose or purposes for which such meeting is being called and may be delivered as a .pdf email attachment, at such place, date and time place as the Chairman or such other Director shall determine.
