Common use of Cancellation of Certain Tax Sharing Agreements Clause in Contracts

Cancellation of Certain Tax Sharing Agreements. Prior to the Closing, all Tax allocation, Tax sharing, Tax indemnity and similar agreements, arrangements and understandings between any Company, on the one hand, and Contributor or any of its Affiliates (other than the Companies), on the other hand, shall be terminated with respect to each Company, and no Company will have any Liability under any such agreement, arrangement or understanding after the Closing.

Prior to the Closinglast Closing after which a Company is directly or indirectly contributed, in whole or in part, to SEP, all Tax allocation, Tax sharing, Tax indemnity and similar agreements, arrangements and understandings between any such Company, on the one hand, and Contributor SE Corp or any of its Affiliates (other than the Companies), on the other hand, shall be terminated with respect to each such Company, and no such Company will have any no Liability under any such agreement, arrangement or understanding after the relevant Closing.
