Throughput Data. Attached hereto as Schedule 2.28 are historical throughput data and information for the calendar year 2011 and for the nine months ended September 30, 2012, relating to the Business of the Company Group. To the Knowledge of the Seller, such throughput data and information are accurate and complete in all material respects with respect to the information for each applicable period, without representations as to any specific monthly volume. To the Knowledge of the Seller, subsequent to September 30, 2012, there have been no material adverse changes in the volumes of natural gas gathered and transported by the Company Group.

Throughput Data. Section 4.19 of the Company Disclosure Schedule sets forth summary delivery and throughput data and other operating data reflected therein for the Company Systems (the “System Data”) for the nine-month period ended as of September 30, 2015, which System Data is true and correct in all material respects. There have been no material adverse changes in the volumes of hydrocarbons delivered to or transported through the Company Systems subsequent to the periods covered by the System Data and no Person has provided written or, to the Knowledge of the Company, oral notice to the Company of its intent to materially reduce the volume of hydrocarbons it delivers to or transports through the Company Systems.

Such throughput data and information is accurate and complete in all material respects with respect to the information for the applicable period, without representation as to any specific monthly volume. Subsequent to June 30, 2016, there have been no material adverse changes in the volumes of Hydrocarbons (or products or derivatives thereof) or Salt Water gathered and transported by the Pipeline System, processed in the Plants or disposed in the SWD Xxxxx.

  • Delivery Points ‌ Project water made available to the Agency pursuant to Article 6 shall be delivered to the Agency by the State at the delivery structures established in accordance with Article 10.

  • Quality Specifications SANMINA-SCI shall comply with the quality specifications set forth in its Quality Manual, incorporated by reference herein, a copy of which is available from SANMINA-SCI upon request.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection.   • Storage The ordering agency is responsible for storage if the contractor delivers within the time required and the agency cannot accept delivery.

  • Delivery Point (a) All Energy shall be Delivered hereunder by Seller to Buyer at the Delivery Point. Seller shall be responsible for the costs of delivering its Energy to the Delivery Point consistent with all standards and requirements set forth by the FERC, ISO-NE, the Interconnecting Utility and any other applicable Governmental Entity and any applicable tariff.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Metering The Interconnection Customer shall be responsible for the Connecting Transmission Owner’s reasonable and necessary cost for the purchase, installation, operation, maintenance, testing, repair, and replacement of metering and data acquisition equipment specified in Attachments 2 and 3 of this Agreement. The Interconnection Customer’s metering (and data acquisition, as required) equipment shall conform to applicable industry rules and Operating Requirements.
