Common use of Cap on the Agency's liability Clause in Contracts

Cap on the Agency's liability. subject to clause 16.2 (no limitations in respect of deliberate default) and clause 16.4 (liabilities which cannot legally be limited), the Agency's total liability to the Client in respect of all breaches of this Agreement shall not exceed the total charges paid by the Client to the Agency. Total charges mean all sums paid by the Client in respect of the Deliverables and Services supplied by the Agency in respect of the Project Plan or Scope of Works giving rise to the liability. The Agency’s total liability includes liability in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Agreement.
