Common use of Capacities, Duties and Authority Clause in Contracts

Capacities, Duties and Authority. 2.01. Effective on the Effective Date and throughout the Employment Period, the Executive shall serve as President and Chief Executive Officer. 2.02. In his capacity as President and Chief Executive Officer of the Company, the Executive shall have such authority, perform such duties, discharge such responsibilities and render such services as are consistent with the job and with directives from the Board of Directors of the Company (“Company’s Board”). 2.03. The Executive shall render his services diligently, faithfully and to the best of his ability, devoting thereto all of his business time, energy and skills on an exclusive basis and, without the prior written consent of the Company’s Board, the Executive shall not render services to or for the account of himself or any other person, firm or corporation other than the Company.

In his capacity as Senior Vice President and Chief Executive Officer - Sales of the Company, the Executive shall have such authority, perform such duties, discharge such responsibilities and render such services as are consistent with the job and with directives from the Board of Directors of the Company (“Company’s Board”). 2.03.
