Service on Board. The Company may require Executive to serve without additional compensation as a member of the Board or as an officer or director of any of the Company’s subsidiaries. Any compensation or other remuneration received from such service may be offset against the amounts due hereunder.
Service on Board. During the Employment Term, the Board will nominate Executive for election as a member of the Board and, at the expiration of each then-current term, re-election as a member of the Board. Executive will serve without additional compensation as a member of the Board and as an officer and director of any of the Company’s subsidiaries. Any compensation or other remuneration received from such service may be offset against the amounts due hereunder.
Service on Board. The Company shall use its reasonable best efforts to cause Executive to be elected as a member of the Board at the 2019 Meeting effective as of the Effective Date and, subject to Section 3, use its reasonable best efforts to cause Executive to be re-elected to the Board during the Term.
Service on Board. The Company shall appoint Executive to the Board effective as of the Effective Date and use its reasonable best efforts to cause Executive to be re-elected to the Board during the Term.
Service on Board. Standard duration of contract of employment for Officers and Ratings is as follows: Based on rotation period of 11 months on board and 1 month on leave for all seafarers On completion of contract / rotation on board, the necessary arrangements will be made by the Xxxxxxx Agency (on behalf of RLPL) to relieve the crew member. Any request for extension of service on board should be submitted in writing to the RLPL well in advance and should be confirmed by the Master and/or Chief Engineer. Dissent to this request either by the Master or by the Chief Engineer should be mentioned on the original letter of request. It is the RLPL’s policy to avoid extension of contract in order to follow proper planning, however an extension may be considered by the Company in certain circumstances.
Service on Board. As of the Effective Date, Executive is a member of the Board. During the Term of Employment, the Company shall designate and nominate Executive for election by the Company’s shareholders to the Board in accordance with Article IX, Section 2(a) of the Company’s by-laws, as amended from time to time.
Service on Board. Employee shall serve on the Bank Board and on such committees established by the Bank Board to which Employee may be appointed.
Service on Board. Executive agrees to serve as a director of the Company during the Term and to serve on such committees of the Board as to which he might be appointed. During the Term of this Agreement, Executive shall report directly to the Board and committees of the Board.
Service on Board. Executive shall continue to serve on the Board and the Company shall use its reasonable best efforts to cause Executive to be re-elected to the Board during the Term.
Service on Board. If, as of any Date of Termination, Executive is then serving as a member of the Board (it being acknowledged that Executive has no right hereunder or otherwise to serve on the Board), Executive agrees to resign in writing from the Board and any committees thereof, and any officer positions held with the Company or its subsidiaries, effective within two days after the Date of Termination for any reason.
