Capacity of Buyer. Buyer is a real estate investment trust organized, validly existing and in good standing under the laws of the State of Maryland and is qualified to do business in all states in which the ownership of its assets or the conduct of its business makes such qualification necessary. Buyer has the requisite right, power, legal capacity, and authority to enter into this Agreement and to fully perform each and all of its obligations under this Agreement.
Capacity of Buyer. Buyer is a limited liability company organized, validly existing and in good standing under the laws of the State of Delaware and is qualified to do business in all states in which the ownership of its assets or the conduct of its business makes such qualification necessary. Buyer has the requisite right, power, legal capacity, and authority to enter into this Agreement and to fully perform each and all of its obligations under this Agreement.
Capacity of Buyer. The Buyer is a corporation duly organized, validly existing and in good standing under the laws of Kansas and has all requisite power and authority (corporate or otherwise) to enter into and perform the terms of this Agreement, the agreements and instruments referred to hereby and the transactions contemplated hereby.

Capacity of Buyer. Buyer is a limited liability company duly organized, validly existing and in good standing under the laws of the State of California. Buyer has the requisite right, power, legal capacity, and authority to enter into this Agreement and to fully perform each and all of its obligations under this Agreement.
Capacity of Buyer. PARTY
a) BUYER/PARTY has full power and capacity to enter into and perform this Agreement and this Agreement constitutes valid and binding obligations on BUYER/PARTY, in accordance with its terms.
b) BUYER/PARTY warrants that it has or will arrange to have all Municipal and/or Building Society approvals for installation of the Mast at the proposed site.
Capacity of Buyer. Buyer is a mutual insurance company duly organized, validly existing and in good standing under the laws of the State of Ohio and has all requisite corporate power and authority to enter into this Agreement and to perform its obligations hereunder. Complete and correct copies of the articles of incorporation and code of by-laws of Buyer, each as amended to the date of delivery, have been delivered to Seller.
Capacity of Buyer. 1.1 The Buyer has the power and authority to enter into and perform this agreement which constitutes, or when executed will constitute, binding obligations on each of them in accordance with their terms and each of them shall comply with such terms.
1.2 Neither the execution and delivery of this agreement by the Buyer nor the transactions contemplated by this agreement are prohibited by, or violate any provision of and will not result in a material breach of:
1.2.1 any applicable and material law, rule, regulation, judgment, decree, order or other requirements of any government, quasi-government, statutory, administrative or regulatory body, court or agency; or
1.2.2 the Memorandum or Articles of Association of the Buyer or Buyer’s Group.
1.3 This agreement constitutes and imposes valid, legal and binding obligations on the Buyer and is fully enforceable in accordance with its terms.
1.4 No permit, authorisation, consent or approval of or by, or any notification of or filing with, any person (governmental or private) is required by Buyer in connection with its execution, delivery and performance of the agreement and the ancillary documents which Buyer is required to deliver pursuant hereto or its consummation of the transactions contemplated hereby and thereby.
Capacity of Buyer. Buyer is duly organized and validly existing and in good standing under the laws of France and has the requisite power and authority, to enter into and to perform this Agreement and the other agreements and documents to be executed in accordance with it. This Agreement and all other documents to be executed in accordance with it to which Buyer is a party constitute, or will when executed constitute, binding obligations of Buyer in accordance with their terms.
Capacity of Buyer. 1.1 The Buyer has the full legal capacity to act and to enter into this Agreement and to fulfill its obligations under it. Such capacity is not limited by any legal provisions, court decisions, arbitration awards or agreements.
1.2 The Buyer has performed all the actions and has obtained all the authorizations, permits, agreements or approvals necessary to enter into and perform this Agreement and to acquire the ownership over the Shares. No further agreements, authorizations or permits for such a purpose are required by the Buyer. The entering into and the performance of this Agreement by the Buyer does not breach any rules, undertakings or agreements adopted or entered into by the Buyer.
