The titles, captions and table of contents contained herein are inserted herein only as a matter of convenience and for reference and in no way define, limit, extend or describe the scope of this Agreement or the intent of any provision hereof. The Parties acknowledge that, to the extent there is a conflict between the provisions of this Agreement and the provisions of any Exhibit attached hereto, the provisions of the applicable Exhibit shall govern.
