Carrier Conditions Precedent. Notwithstanding anything in this Agreement to the contrary, Sections 4.01.1 and 4.01.2 set forth conditions precedent to Carrier’s agreements and obligations under this Agreement. If any of these conditions precedent are not satisfied to the satisfaction of Carrier or waived by Carrier, in its sole discretion, Carrier shall have the right to terminate this Agreement by written notice to Shipper. If this Agreement is terminated pursuant to this Section 4.01, i) Carrier and Shipper shall be released from any and all obligations under this Agreement, other than each Party’s obligations in Article 16 hereof, which shall survive such termination, and ii) Shipper shall not be liable for any costs, expenses or other liabilities incurred by Carrier or its Affiliates associated with the Pipeline or this Agreement.
