The information relating to Cascade and its Subsidiaries to be contained in the Joint Proxy Statement and the S-4, and the information relating to Cascade and its Subsidiaries that is provided by Cascade or its representatives for inclusion in any other document filed with any other Regulatory Agency in connection herewith, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading. The S-4 and Joint Proxy Statement (except for such portions thereof that relate only to Home or any of its Subsidiaries) will comply in all material respects with the provisions of the Securities Act and Exchange Act, respectively, and the rules and regulations thereunder.
