Cash Equivalent. If the TRANSFER NOTICE provides for the payment for the TRANSFER SHARES other than in cash, the CORPORATION and/or the OTHER SHAREHOLDERS shall have the option of paying for the TRANSFER SHARES by the discounted cash equivalent of the consideration described in the TRANSFER NOTICE, as reasonably determined by the Board.
